HOW OUR ACQUISITION PROCESS WORKS
Selling a business can feel complicated. At Autocloud International, Inc., we strive to make the acquisition process professional, transparent, and easy to understand.
While every transaction is unique, our acquisition process generally follows these stages:
1. Confidential Initial Inquiry
The process begins with a confidential conversation.
We learn about your business, industry, operations, financial performance, ownership structure, and your goals for a potential transition.
Your information is treated with discretion from the beginning.
2. Preliminary Business Review
We conduct an initial review to determine whether the business aligns with our acquisition strategy and investment criteria.
This may include reviewing:
- Business history
- Products and services
- Customer base
- Market position
- Operations
- Growth opportunities
- Owner transition goals
If the opportunity appears to be a potential fit, we move forward to a more detailed evaluation.
3. Business Evaluation & Valuation
Our team conducts a deeper assessment of the business to better understand its current value and future potential.
We consider factors such as:
- Financial performance
- Cash flow and profitability
- Assets and liabilities
- Customer concentration
- Operational performance
- Industry conditions
- Market opportunities
- Growth potential
The goal is to develop a well-informed understanding of the business and its acquisition potential
4. Letter of Intent & Deal Structure
If the business meets our acquisition criteria and both parties wish to proceed, we may develop a Letter of Intent (LOI) outlining the proposed transaction.
The LOI may address items such as
- Proposed purchase price
- Transaction structure
- Key terms and conditions
- Transition expectations
- Due diligence requirements
- Target closing timeline
The specific structure will depend on the individual transaction.
5. Due Diligence
Once the parties agree to move forward, a comprehensive due diligence process begins.
Depending on the transaction, this may include reviewing:
- Financial records
- Tax documentation
- Contracts and agreements
- Customer and vendor information
- Employee and staffing information
- Licenses and permits
- Assets and equipment
- Legal matters
- Operational processes
- Other relevant business documentation
Due diligence allows both parties to validate the information necessary to make an informed acquisition decision.
6. Final Agreement
Following successful due diligence, the parties work toward finalizing the definitive purchase
agreement and other required transaction documents.
Professional advisors, including legal and financial professionals, may participate as
appropriate
7. Closing
Once all conditions have been satisfied and the required agreements are executed, the transaction proceeds to closing.
At closing, ownership transfers according to the terms of the finalized agreement.
8. Transition & Growth
Our relationship does not necessarily end at closing.
Where appropriate, we work to establish a smooth transition of operations, relationships, knowledge, and responsibilities.
Our broader objective is to preserve the strengths of the business while identifying opportunities for sustainable growth and long-term value creation
